CNC MASTERS, Inc. Term and Conditions of Sale
  1. GENERAL

    These Terms and Conditions of Sale and any attachments govern the sales of products purchased hereunder prevail over any conflicting or inconsistent terms and conditions appearing on any purchase order submitted by the buyer. No change or modification of these Terms and Conditions shall be valid or binding on either party unless in writing and signed by an authorized representative of each party, as part of or modification to the quotation.
  2. DELIVERY

    CNC MASTERS, Inc. will see to it that reasonable means will be exhausted to meet the shipment dates quoted, although we will not be liable for any special, incidental, or consequential damages resulting from delivery delays or inability to deliver. Deliveries are FOB Destination and the prices quoted include freight insurance. If buyer chooses to contract their own freight carrier (FOB Origin), title and risk of loss shall pass to the buyer upon pick-up of the freight carrier. In the absence of specific written instruction from the buyer, CNC MASTERS, Inc. will select the common carrier. Buyer shall be responsible for any freight charge and any insurance charge. Buyer is responsible for lowering machine off the truck or indicating proper delivery instructions with CNC MASTERS, Inc. Mis-information given to CNC MASTERS, Inc. regarding proper delivery instructions, and as a result extra shipping fees are incurred, these fees will pass on to the buyer. If the products are shipped freight prepaid, the buyer shall pay CNC MASTERS, Inc. the appropriate freight and insurance charges, which will be shown as separate items on the invoice. Allow 1-3 weeks from purchase date and/or check clearance to ship out product. Delivery of product date will depend on the reasonable means of the carrier and the distance of the drop-off location. In certain cases additional time may be needed for holidays, weekends, and harsh weather conditions. CNC MASTERS, Inc. will make every attempt to keep the buyer informed prior to making a purchase if additional time is needed. CNC MASTERS, Inc. WILL ONLY REFUND THE BUYER FOR LIFT-GATE AND/OR RESIDENTIAL DELIVERY IN THE EVENT THE CARRIER HAS FAILED TO PROVIDE THESE ADDITIONAL SERVICES THAT WERE PRE-PURCHASED FROM THE BUYER. IN THE EVENT THE BUYER CHOOSES TO PICK UP PRODUCTS OR MACHINE AT CARRIER’S DROP OFF LOCATION “AFTER” PURCHASING LIFT-GATE AND/OR RESIDENTIAL SERVICE-BE AWARE THAT A REFUND WILL NOT BE GIVEN BY THE CARRIER OR CNC MASTERS, Inc. AS THE ORDER FOR THESE SERVICES HAS BEEN PRE-PAID AND ARE INCLUDED IN THE CARRIER’S ITINERARY FOR DELIVERY. IF THE BUYER CHOOSES TO PICK UP AFTER PURCHASING SAID ADDITIONAL TRANSPORTATION SERVICES, THE BUYER WILL RELEASE CNC MASTERS, Inc. AND CARRIER FROM ANY LIABILITY ONCE THE BUYER OBTAINS THE MACHINE.
  3. DAMAGE AND SHORT SHIPMENT

    In the event products are received damaged, keep all packaging material and contact both the carrier and CNC MASTERS, Inc. in writing within TWO working days. In the event CNC MASTERS, Inc. milling machines, lathes, and other machinery is noticeably damaged, this may include broken crating or torn wrap, the buyer MUST indicate in writing on the driver’s release records: “SHIPMENT PACKAGING IS DAMAGED, AND TIME FOR FURTHER INSPECTION OF PRODUCT WILL BE NEEDED TO FILE A CLAIM IN THE EVENT THE PRODUCT IS ALSO DAMAGED.” This will give the buyer time to unwrap or un-crate the machine for inspection. The buyer should also take additional precautions by taking pictures of the noticeable damage prior to examining the machine especially while the machine is still on the freight truck. Signing the driver’s form without adding this statement will release the driver or the shipping company from taking responsibility for any damage caused to the machine. CNC MASTERS, Inc. in this case cannot help the buyer to file a claim to recover the loss of the machine. If the machine without doubt is visibly damaged, refuse to accept the machine on the grounds that it is damaged and take several pictures from different positions. Be sure to receive a copy of the driver’s paper work. Immediately forward this paperwork and pictures by email directly CNC MASTERS, Inc. Please allow for dings and possible corner cracks on crates, which is normal wear and tear that may happen during transportation.
  4. PRICES, TAXES, AND PAYMENT

    All prices are per unit (except where indicated) are in U.S. dollars. All prices are subject to change without notice. Taxes, such as Federal, State, or local, which is the obligation of CNC MASTERS, Inc. to collect in connection with the sale or delivery of products described on any attachment shall be paid by buyer and will appear as separate items on the invoice unless your tax exemption certificate is on file with CNC MASTERS, Inc. (Please send certificate with first order.) All orders are pre-paid. Upon the request of the customer, 50% minimum payment in the form of personal or cashier’s check or money order only can be made to initiate order is also accepted, and remaining balance will be due before shipping of product. CNC MASTERS, Inc. will notify the customer to collect the remaining balance prior to shipping of product. Form of payment for international orders or orders outside the continental USA can only be done by bank wire transfer.
  5. RETURNS

    A “Return Authorization” number must be issued by CNC MASTERS, Inc. prior to the return of any goods. Goods returned are to be referenced by this number, or they will not be accepted. All returns are to be sent to CNC MASTERS, Inc., freight prepaid. If payment of product was done by credit card, there is a 3% re-stocking fee. Returned items after 30 days are not allowed. Returned items must be clean, and remain in new condition. Proper packaging for shipping will be the responsibility of the customer for any goods returned within 30 days from the date the machine or products are received. A refund will be given after inspection has been made and goods remain in new condition and are not damaged. If there is any visible shipping damage to the machine, CNC MASTERS, Inc. will refuse to accept the machine or other accessories from the carrier. All claims for this matter shall pass on to the buyer to be dealt with the carrier he/she has hired. Any original “ship to” shipping costs including crating, discounted or shipping completely covered by CNC MASTERS, Inc. will be subtracted from the refund. If the buyer discovers that he/she has missing accessories that were purchased, the buyer must notify CNC MASTERS, Inc. within THREE business days.
  6. SOFTWARE LICENSE

    All software furnished here under is licensed by CNC MASTERS, Inc. to the buyer on a non-exclusive basis for use by the buyer. The usage by the software is restricted to equipment for which or with which was acquired. Title to the software shall remain with CNC MASTERS, Inc. Acquisition of CNC MASTERS, Inc. software requires the execution of a separate license agreement. The Master Operating Software is only intended to be used with PC Windows operating systems. Refer to the Master Operating Software description and limitation on which Windows platforms the software will drive.
  7. LIMITATION OF WARRANTY

    CNC MASTERS, Inc. Products are guaranteed for one year limited warranty for defects due to faulty material and bad workmanship. CNC MASTERS, Inc. will repair or replace faulty goods and is not responsible for any consequential loss incurred due to faulty goods. Warranty does not cover normal wear, misuse or consumable items. CNC MASTERS, Inc. warrants that the software will perform in accordance to the written materials for this product. Also, under this warranty CNC MASTERS, Inc. will see to it to provide the support services intended to make the software conform to its description and to correct operational defects. CNC MASTERS, Inc. support does not provide training on actual machining or develop the customer’s machining programs. The obligation of CNC MASTERS, Inc. under this warranty are limited to replacing parts or repairing at its option and at its factory, of said products which shall, within one year after delivery to the customer, be returned to the Seller’s factory of origin, transportation charges prepaid and which are, after examination determined to be defective. CNC MASTERS, Inc. does not do on-site repair work, but at its option will instruct and support the user by email or phone on any repairs that may be needed at user’s location. This Warranty shall not apply to any of such products which has been repaired or altered, except by the Seller or its authorized centers or which have been subjected to misuse, negligence, or accident. The original warranty period of any product, which has been either repaired or replaced, will not be extended. It is this warranty which is expressed instead of all other warranties: statutory, expressed, and implied including the implied warranties of merchantability, any particular purpose, and all other obligations or liabilities on the Seller’s part. In addition, it will never assume or authorize any other person to assume for the seller any other liabilities in connection with the sale of said products. Buyer further represents and acknowledges that CNC MASTERS, Inc. has not made any representations or warranties, direct or indirect, express or implied as to any manner whatsoever, including without limitation, the design or condition of any item of equipment, its merchantability or its liability or its fitness for any particular purpose, the quality of the material or workmanship of any item of equipment, improper delivery, delay in delivery or conformity of any item of equipment to the provisions and specifications of any purchase or orders relating thereto, nor shall CNC MASTERS, Inc. be liable for incidental or consequential damages (including strict liability in tort). CNC MASTERS, Inc. shall not be liable to Buyer, or any other party, for any loss, damage, injury or expense of any kind or nature caused directly or indirectly by the equipment or the failure of the equipment to operate properly.
  8. SAFETY PRECAUTIONS

    Buyer shall require all of its machine operators and surrounding people to use all safety devices, guards and follow proper safe operating procedures as set forth in manuals and instruction sheets furnished by CNC MASTERS, Inc. Buyer shall not remove or modify any such device, guard or sign. It is Buyer’s responsibility to provide all the means that may be necessary to effectively protect him/herself, all people around the machine and employees from serious bodily injury which otherwise may result from the method of particular use, operation, set-up or service of the equipment. If Buyer fails to comply with such provisions of this paragraph or the applicable standards or regulations aforementioned, Buyer shall indemnify and save CNC MASTERS, Inc. harmless from and against any and all claims, losses or damages arising there from. It is the responsibility of Buyer to comply with any and all local safety codes.
  9. DESCRIPTIONS OF EQUIPMENT

    All weights given are estimates, stated as correctly as possible, and any minor deviations shall not invalidate this purchase order. Brochures, photographs and other illustration representing the equipment offered are not binding in detail, as improvements are constantly being made in design. Brochures and web site are subject to change without notice.
  10. ASSIGNMENT

    This agreement may not be assigned without the express written consent of the parties hereto. Any attempted assignment of rights or delegation of duties shall be void.
  11. GOVERNING LAW

    This agreement shall be construed in accordance with the laws of the State of California; USA will govern any disputes regarding the interpretation and or validity of these Terms and Conditions hereof. Any dispute relating to the products sold from CNC MASTERS, Inc. here under shall be subjected to the jurisdiction of the courts within the State of California. The provisions of this agreement are divisible and the invalidity or unenforceable of any provision or provisions contained herein shall not in any way affect the validity of this agreement without the invalid or unenforceable provision or provisions.
  12. PRIVACY POLICY

    We do not sell your personal data ā€“ such as your name and contact information ā€“ to third parties to use for their own marketing purposes. CNC MASTERS, Inc. uses the information we collect for the following purposes:

    • Provide our Services. To provide you the services we offer, communicate with you about any software updates, respond to your inquiries, provide troubleshooting, and for other customer service purposes.
    • Marketing and Promotions. For marketing and promotional purposes, such as to send you news and newsletters, special offers, and promotions, or to otherwise contact you about products or information we think may interest you.
    • Analytics. To gather metrics to better understand how users access and use the CNC Masters website; to evaluate and improve the CNC Masters website, including the Ad Services and personalization, and to develop new products and services.
    • Comply with Law. To comply with legal obligations, as part of our general business operations, and for other business administration purposes.
    • Prevent Misuse. Where we believe necessary to investigate, prevent or take action regarding illegal activities, suspected fraud, situations involving potential threats to the safety of any person or violations of our Terms of Service or this Privacy Policy.

    How We Share Your Information

    We share information as set forth below, and where individuals have otherwise consented:

    Service Providers.Ā We may share your information with third party service providers who use this information to perform services for us, such as payment processors, hosting providers, auditors, advisors, consultants, customer service and support providers, as well as those who assist us in providing the Ad Services.

    Affiliates. The information collected about you may be accessed by or shared with subsidiaries and affiliates of CNC MASTERS, Inc., whose use and disclosure of your personal information is subject to this Privacy Policy.

    Business Transfers.Ā We may disclose or transfer information, including personal information, as part of any merger, sale, and transfer of our assets, acquisition or restructuring of all or part of our business, bankruptcy, or similar event.

    Legally Required.Ā We may disclose your information if we are required to do so by law.

    Protection of Rights.Ā We may disclose information where we believe it necessary to respond to claims asserted against us or, comply with legal process (e.g., subpoenas or warrants), enforce or administer our agreements and terms, for fraud prevention, risk assessment, investigation, and protect the rights, property or safety of CNC MASTERS, Inc., its users, or others.

    Your Reviews on our Products.Ā Your Review Content, including your name, profile picture, profile information, may be viewed publicly. In addition, your Review Content may be indexed by search engines.Ā  Do not post a review on the CNC Masters site if you desire to keep private your review content, including your name, profile picture, profile information from being indexed by search engines, and ad services.

    Metrics. We do not share IP addresses or personal information. We may also allow our marketers or publishers to use Pixels on the CNC Masters Platform in order to collect information about the performance of the CNC Masters website.

    Anonymized and Aggregated Data.Ā We may share aggregated or de-identified information with third parties for research, marketing, analytics and other purposes, provided such information does not identify a particular individual.

    Cookies, Pixels and Tracking

    We and our third party providers use cookies, clear GIFs/pixel tags, JavaScript, local storage, log files, and other mechanisms to automatically collect and record information about your usage and browsing activities on the CNC Masters site and across third party sites or online services. We may combine this information with other information we collect about users. Below, we provide a brief summary these activities.

    • Cookies. These are small files with a unique identifier that are transferred to your browser through our websites. They allow us to remember users who are logged in, to understand how users navigate through and use the CNC Masters site, and to display personalized content and targeted ads (including on third party sites and applications).
    • Pixels, web beacons, clear GIFs. These are tiny graphics with a unique identifier, similar in function to cookies, which we use to track the online movements of users while on the CNC Masters site.Ā  We also use these in our emails to let us know when they have been opened or forwarded, so we can gauge the effectiveness of our communications, and improve the CNC Masters site.
    • Analytics Tools.Ā We may use internal and third party analytics tools, includingĀ Google Analytics. The third party analytics companies we work with may combine the information collected with other information they have independently collected from other websites and/or other online products and services. Their collection and use of information is subject to their own privacy policies.
  13. MERGER CLAUSES:

    The entire contract is embodied in this writing. There are no understandings, agreements, representations, or warranties, either oral or written, relative to the products, including statements made in or conduct implied from past dealings, that are not fully expressed herein. No oral or any other form of statement subsequent to the acceptance of the purchase order purporting to modify the said terms and conditions shall be binding unless consented to in writing by a duly authorized officer of CNC MASTERS, Inc. in a document making specific reference to this transaction or after a transaction has been made.
